BLOMSTEIN Advises ADTRAN on Business Combination with ADVA

BLOMSTEIN is advising ADTRAN, Inc. (ADTRAN) on the German foreign direct investment and merger control aspects of its business combination with the network technology company ADVA Optical Networking SE (ADVA). By entering into the business combination, the companies seek to become a leader in providing end-to-end fiber networking solutions.

ADTRAN is a provider of networking and communications equipment focussed on fiber access, fiber extension and subscriber connectivity solutions. ADVA is specialised in metro wavelength division multiplexing, data center interconnect, business ethernet and network synchronization solutions. The merger combines the strengths of both companies. The two companies will combine under the new holding company “ADTRAN Holdings, Inc.”.

BLOMSTEIN is advising ADTRAN on the business combination together with Kirkland & Ellis LLP. The team on our side was composed of Roland M. Stein, Leonard von Rummel, Laura Louca and Vanessa Kassem from BLOMSTEIN’s trade team for the foreign direct investment control aspects and Anna Blume Huttenlauch and Marie-Luise Heuer from BLOMSTEIN’s antitrust team for the merger control aspects.
